GENERAL CONDITIONS OF PURCHASE FOR THE SUPPLY OF GOODS AND SERVICES



The following General Conditions (“General Conditions”) apply to all supplies of goods and services subject to Purchase Orders (“Orders”) placed by Tecnica Group S.p.A. (“TECNICA GROUP” and/or “the Buyer”), where not expressly waivered in the said Purchase Orders. Therefore, any provisions that differ from these General Conditions, or any conditions of sale of the Supplier, will not be binding for TECNICA GROUP unless accepted in writing. The acceptance of the supply of goods and services or the payments does not imply and cannot in any case be interpreted as acceptance by TECNICA GROUP of conditions that differ from these General Conditions.

Fulfilment of the Order constitutes full acceptance of these General Conditions, as well as the special conditions indicated in the Order, by the Supplier, pursuant to art. 1327 of the Italian Civil Code.

If the Supplier does not accept the Order in writing within 2 (two) calendar weeks from its receipt, TECNICA GROUP will have the right to cancel it.

Section 1

A) – SUPPLY OF GOODS

1A.1 Supply prices are understood to be fixed and invariable for the entire duration of the Order, the parties having agreed that the provisions of art.1467 and 1664 of the Italian Civil Code are not applicable.

1A.2. The Supplier undertakes:

  1. to deliver, at its own care and expense, the goods and products ordered under the terms and in the places indicated in the Order;
  2. to carry out at its own expense the packaging, loading and unloading, transport and delivery of the goods supplied, as well as the disposal of any residual materials, ensuring full compliance with all applicable regulations;
  3. to execute the delivery by providing the goods with a regular transport document or other legally valid alternative document, which shall state the relevant Order number issued in addition to the description and quantity and unit of measurement of the goods to be delivered;
  4. to guarantee that the goods supplied are free from defects and that they fully comply with the requirements of TECNICA GROUP (e.g. technical specifications, quality requirements, delivery and packaging specifications) and with the applicable national and EU regulations and laws. Defective goods and products or those that do not comply with the legal requirements or the agreed conditions will be rejected and readily made available to the Supplier;
  5. to promptly inform TECNICA GROUP of any accidental event or possible defect in the goods supplied, which could jeopardise the safety of their use or transformation or make them non-compliant with the legal requirements or the agreed conditions;
  6. to guarantee the prompt repair or replacement, free of charge, of defective goods or goods that do not comply with the legal requirements and/or the technical specifications of TECNICA GROUP. In any case, the Supplier will be charged with the cost of disassembly, assembly and assessment of the fault/defect and of the repair or replacement, as well as transport costs, without prejudice to compensation for any further damages.

1A.3. Unless otherwise stated in the Orders, the delivery and return conditions of the goods must be intended as DDP (Delivery duty paid, i.e. including packaging, transport, customs and insurance costs) to the TECNICA GROUP site/plant indicated in the Order. The delivery of the goods to the carrier or forwarding agent does not release the Supplier from the delivery obligation.

1A.4. The Supplier acknowledges that the Order can provide for penalties for late deliveries, non-conformity of the supply, etc., except in cases of duly documented force majeure. In addition, considering the Supplier’s obligation to respect the delivery terms provided for in the Order and/or TECNICA GROUP’s production requirements, in case of total or partial delay in delivery, except for cases of duly notified force majeure, exceeding a maximum of 15 (fifteen) consecutive calendar days, TECNICA GROUP will have the right to terminate the agreement relating to the Order according to art. 1456 of the Italian Civil Code, without prejudice to compensation for damages.

1A.5. Acceptance of the supply is in any case subject to the positive outcome of its testing/verification by TECNICA GROUP. In the case of a negative outcome of the testing/verification, the Supplier commits to replace and/or restore the functionality of the goods within the deadline that will be set by TECNICA GROUP in agreement with the Supplier, without prejudice to the right to request compensation for damages for non-delivery and/or the application of any penalties for late delivery.

1A.6. Without prejudice to TECNICA GROUP’s right to refuse goods that do not comply with what TECNICA GROUP has requested, the ownership of the goods and products will pass to TECNICA GROUP at the moment of delivery to the place indicated in the Order.

1A.7. TECNICA GROUP has no responsibility for excess supplies that have not been agreed in advance by the Supplier with TECNICA GROUP, which will be rejected at the Supplier’s expense.

B) – PROVISION OF SERVICES

1B.1. Supply prices are understood to be fixed and invariable for the entire duration of the Order. The provisions of art. 1467 and 1664 of the Italian Civil Code are excluded.

1B.2. The Supplier undertakes to perform the services covered by the Order independently, with organisation of the necessary means and management at its own risk, and with the diligence required by the nature of the services entailed.

1B.3. The Supplier acknowledges that the Order may provide for penalties for delays in the provision of services and/or failure to comply with the service levels indicated in the Order etc., except in cases of duly documented force majeure. In addition, considering the Supplier’s obligation to respect the delivery terms provided for in the Order and TECNICA GROUP’s requirements, in case of total or partial delay in delivery, except for cases of duly notified force majeure, exceeding a maximum of 15 (fifteen) consecutive calendar days, TECNICA GROUP will have the right to terminate the agreement relating to the Order according to art. 1456 of the Italian Civil Code, without prejudice to compensation for damages.

Section 2 – PAYMENT CONDITIONS

2.1 The Supplier acknowledges that:

  1. invoices can only be issued by the Supplier upon delivery of the goods and supply of the service to TECNICA GROUP;
  2. invoices must always refer to the Order number and, in the case of the supply of goods, also to the transport document, the quantities/units of measurement/price/currency and must be issued at the agreed intervals;
  3. in the event of any discrepancies between the Orders and the invoice data, the Supplier shall rectify the invoices in accordance with the Orders by issuing rectification documents. Any credit and/or debit notes shall refer to the relevant original invoice with its number and date as well as the number of the transport document and the Order.

2.2 Pursuant to and for the purposes of art. 4, paragraph 3, of Legislative Decree 231/2002, as amended by Legislative Decree 192/2012, the Supplier acknowledges and accepts, unless otherwise provided for in the Orders, 90 days from the end of the month of the invoice date as payment terms, considering the date of issue of the invoice as conventionally set at the last day of the month. Invoices shall be paid by bank transfer.

2.3 In case of application of penalties, TECNICA GROUP will issue an invoice/debit note (VAT exempt as per art. 15 DPR 633/72 and subsequent amendments) with payment within 60 days from the date of issue of the invoice/debit note.

2.4 The Supplier commits to notify TECNICA GROUP a single direct debit (or bank detail), valid for the entire duration of the agreed contract, and to clearly indicate the IBAN code of the current account, on which the payment must be made. In case of amendments or changes, the Supplier commits to notify the details to TECNICA GROUP at least 60 (sixty) days before the payment due date by PEC (Italian certified email).

Section 3 – AUTHORISED THIRD PARTY SUPPLIERS – PROHIBITION OF ASSIGNMENT

or services without prior written authorisation from TECNICA GROUP. If the Supplier entrusts a third party supplier, authorised by TECNICA GROUP according to the present art. 3.1 (hereafter, the “Authorised Third Party Suppliers”) with the execution, in whole or in part, of the due supplies, the supplier is not released from the obligations and responsibilities assumed towards TECNICA GROUP with the present General Conditions.

In order to obtain the prior written authorisation from TECNICA GROUP, as per art. 3.1 herein, the Supplier will communicate in writing the name and address of the registered office as well as the production site of the third party supplier, the activities assigned to the latter and any other information that TECNICA GROUP may deem useful and necessary. For all supplies entrusted to Authorised Third Party Suppliers, the Supplier commits, in any case, also to ensure that the Authorised Third Party Suppliers carry out the supply according to the terms requested by TECNICA GROUP, whilst observing these General Conditions and especially Section 6 – Intellectual Property Rights.

In the event that each Authorised Third Party Supplier carries out one or more acts that are forbidden under these General Conditions and the provisions of this art. 3.1, upon TECNICA GROUP’s simple request, the Supplier will cease all relations and terminate the relative contract with the Authorised Third Party Supplier in question and will ensure that the latter immediately ceases all activities relating to the supply it was mandated.

3.2 It is forbidden for the Supplier to transfer the Orders and receivables from TECNICA GROUP, as well as to give mandates for collection, unless authorised in writing by TECNICA GROUP.

Section 4 – TERMINATION – WITHDRAWAL – FORCE MAJEURE

4.1 The Supplier recognises that the fulfilment of certain obligations provided for in the Orders is essential and that TECNICA GROUP will have the right, in addition to the compensation for damages, to terminate the agreements related to the Orders according to art. 1456 of the Italian Civil Code, if one of the following hypotheses occurs:

  1. delay in the execution of the supplies, except in cases of force majeure, exceeding 15 (fifteen) consecutive calendar days as provided for in art. 1A4 and 1B3 of these General Conditions;
  2. non-negligible breach of the obligations contained in art. 1A.2, 1B.2, 3, 5 and 6;
  3. transfer/lease by the Supplier of the business or transfer/lease of the branch of the business with respect to the services to which the Supplier is obliged under these General Conditions;
  4. change in the controlling corporate structure of the Supplier;
  5. the Supplier is subject to liquidation, including voluntary liquidation; the Supplier files a petition or is subject to composition with creditors, including out-of-court composition, or other insolvency proceedings.
  6. deterioration of the Supplier’s equity/financial conditions to the point of compromising its supply commitment to TECNICA GROUP.

4.2 Special cases of withdrawal and/or termination are regulated in the Orders.

4.3 Each party shall not be liable for failure to perform its obligations under the Orders, if and as long as such non-fulfilment is the result of unforeseeable and/or unavoidable circumstances (e.g. wars, natural events, disasters, strikes, pandemics, etc.), such as to prevent the fulfilment of the contractual obligations (“Force Majeure”), provided that the Party with respect to which such Force Majeure operates notifies the other Party within 48 hours from the occurrence of the event, also advising of the possible consequences and the expected delay in the fulfilment of the Order.

Section 5 – CODE OF ETHICS AND ORGANISATION MODEL – PRIVACY

5.1 In the execution of the Orders, the Supplier commits, on his own behalf and according to art. 1381 of the Italian Civil Code for its employees, consultants, collaborators and any Authorised Third Party Suppliers, to adhere to the ethical principles that TECNICA GROUP has set out in its Code of Ethics and Organisational Model, published on the TECNICA GROUP website (https://www.tecnicagroup.com/legal-area/) which it declares to have read and which constitutes an integral and substantial part of the present document.

5.2 The Supplier declares and warrants that there is no liability against itself or its authorised subcontractors:

  1. insolvency proceedings in progress;
  2. rejected checks or other acts detrimental to the reliability and morality of the Supplier and/or the subcontractors and/or their respective Shareholders and Legal Representatives/Directors;
  3. serious administrative sanctions, including sanctions for breach of environmental protection, accident prevention and occupational hygiene regulations issued by the relevant administrative, judicial or supervisory bodies having jurisdiction in the relevant legal system.

In the case of non-fulfilment or if the declarations rendered in this Section 5 do not correspond to the truth, TECNICA GROUP will have the right to terminate the agreements relative to the Orders according to art. 1456 of the Italian Civil Code, without prejudice to the right to request compensation for any damages suffered and any other remedy allowed.

5.3 The Supplier undertakes to fully apply the collective labour agreements and to comply with the regulations on social insurance and tax, contributions, salaries, welfare payments, social security and accident matters; the Supplier also undertakes to pay the contributions due pursuant to the regulations in force on the subject of employment relationships, welfare, social security and employment of labour, as well as to regularly and punctually pay the due amounts to its own employees and to pay the contributions and charges provided for by law, including tax. The Supplier undertakes, pursuant to and for the purposes of art. 1381 of the Italian Civil Code, to ensure that the aforementioned contractual and regulatory obligations are also fulfilled by any Authorised Third Party Suppliers.

Consequently, the Supplier guarantees that its own personnel and any Authorised Third Party Suppliers have no claim against TECNICA GROUP for the activities carried out in execution of the Purchase Orders, for any reason and/or cause. The Supplier commits to keep TECNICA GROUP indemnified and unharmed from any possible claim that could be made by the aforementioned personnel against it, and therefore to reimburse TECNICA GROUP, at the first written request and after having removed any reservation, any amount that TECNICA GROUP is obliged to pay to personnel, for any reason whatsoever, for any executive measure that could be issued against TECNICA GROUP by the Judicial and/or Administrative Authorities, as well as any expense that TECNICA GROUP is obliged to incur in relation to such claims, including legal expenses.

Individuals who, in execution of an order or contract, carry out work in a TECNICA GROUP factory and/or premises must comply with the relevant work regulations. Without prejudice to the application of art. 1229 of the Italian Civil Code, TECNICA GROUP is not responsible for any accidents that occur in TECNICA GROUP’s plants and/or offices.

5.5 TECNICA GROUP informs that the data collected, stored and registered in relation to the present document and the Orders will be subject to processing, both manual and automated, by TECNICA GROUP through authorised persons, for the fulfilment of legal and contractual obligations and for the management of commercial relations, in compliance with the provisions of Legislative Decree 196/2003 “Personal Data Protection Code” and subsequent amendments and the General Data Protection Regulation (GDPR) 2016/679, and the Supplier declares to give its consent, where necessary, to the processing and communication of its data. The data collected and processed may be communicated to third parties, without territorial limitations, exclusively for the purposes set out in this document. The Supplier declares to have read the information notice published on the TECNICA GROUP website (https://www.tecnicagroup.com/privacy-policy/).

Section 6 – INTELLECTUAL PROPERTY RIGHTS – CONFIDENTIALITY

6.1 The trademarks owned by or licensed to TECNICA GROUP (the “Trademarks”) are and remain the exclusive property/licence of the same and cannot in any way be transferred to third parties, modified or used for purposes other than those that may be expressly provided for by the Orders.

6.2 The Supplier undertakes to use the Brands in the manner specified in writing by TECNICA GROUP and solely for the purpose of fulfilling the Orders and to ensure that

  1. the Authorised Third Party Suppliers only affix the Brands if requested in writing by TECNICA GROUP;
  2. the Authorised Third Party Suppliers do not deliver or in any way supply or sell the goods bearing the Brands to third parties, other than the Supplier and TECNICA GROUP. The Supplier remains in any case responsible for the use of the Brands by the Authorised Third Party Suppliers.

6.3 The Supplier guarantees that the goods and services supplied to TECNICA GROUP do not in any way violate the rights of third parties.

If the Supplier, in the execution of the Orders, intends to use devices, technical solutions and any other material subject to intellectual property rights belonging to third parties, it must, by informing TECNICA GROUP in advance, ensure that the right to use them is granted, without any further burden.

The Supplier undertakes to indemnify all damages and bear all costs, including legal costs, in connection with any claim or legal action brought on any grounds by third parties against

TECNICA GROUP where such action relates to the infringement of such intellectual property rights.

6.4 The Supplier acknowledges that the information and materials (for example, drawings, samples, specifications and technical data sheets, etc.) sent to it by TECNICA GROUP belong exclusively to TECNICA GROUP and are confidential. Therefore, no right can be claimed by the Supplier.

The Supplier commits, directly and according to art. 1381 of the Italian Civil Code for its own directors, employees, Authorised Third Party Suppliers, consultants and/or collaborators employed in the activities in any capacity, to use the information and materials mentioned above only to fulfil the Orders, and to treat and maintain them as confidential, so that they are not divulged to third parties, and to return them to TECNICA GROUP upon simple request or in any case once the Order has been fulfilled.

6.5 The Supplier also commits, directly and according to art. 1381 of the Italian Civil Code for his directors, employees, Authorised Third Party Suppliers, consultants and/or collaborators employed in the activities in any capacity, to assign to TECNICA GROUP all intellectual property and economic exploitation rights (except for moral rights, of course) deriving from the goods specifically designed, customised or exclusively supplied to TECNICA GROUP in the execution of the Orders.

6.6 All goods (e.g. moulds, machinery, etc.) owned by TECNICA GROUP and placed at the Supplier’s disposal for the execution of the Order must be returned at the end of the period of validity of the Order, unless otherwise agreed between the parties. The Supplier cannot transfer to third parties, modify or use for other purposes the goods made available by TECNICA GROUP and is responsible for their custody, storage and proper use. Specifically, the Supplier undertakes to use the aforementioned goods with the utmost care and diligence. In case of destruction, damage or loss due to the Supplier’s fault, the Supplier is obliged to replace or repair the above-mentioned goods at its own expense or, if this is not possible, to reimburse TECNICA GROUP for the residual value of the goods, calculated on the basis of current market prices, without prejudice to compensation for any greater damage suffered. The Supplier is not obliged to pay any compensation for the normal wear and tear deriving from the correct use of the goods.

Any packaging, transport, installation, de-installation and maintenance costs of these goods will be charged to the Supplier. The Supplier, having previously checked and found the above-mentioned goods safe and suitable for their intended use, hereby releases TECNICA GROUP from any responsibility for damage to persons and/or things that may derive from their improper use.

6.7 The Supplier acknowledges that TECNICA GROUP will have the right to verify the correct use of the Brands, materials, goods, confidential information and any other intellectual property right through inspections at the premises of the Supplier and Authorised Third Party Suppliers.

Section 7 – INSURANCE

The Supplier shall take out and maintain at its own expense an appropriate insurance policy to cover its obligations and liabilities arising from the Orders.

Section 8 – APPLICABLE LAW AND COURT OF JURISDICTION

These General Conditions are governed by Italian law. The Court of Treviso shall have exclusive jurisdiction over any dispute arising from them.



GENERAL CONDITIONS FOR THE SUPPLY OF PRODUCTS AND/OR SERVICES IN THE FIELD OF DIGITAL TRANSFORMATION AND INFORMATION TECHNOLOGY


The following general conditions (hereafter “General Conditions”) for the consulting activity, software development and management, acquisition of licences, purchase and use of hardware, software, machinery and other useful components in the Digital Transformation and Information Technology field and related maintenance (hereafter “Projects” or, singularly, “Project”) govern the Purchase Orders (hereafter “Orders”) issued by TECNICA GROUP S.P.A. (hereinafter “Buyer” and/or “TECNICA GROUP”) towards the supplier (hereinafter “Supplier”) following the latter’s offer (hereinafter “Offer”) and supersede and cancel any prior agreement between the parties (hereinafter “Parties”).

Any amendment and/or supplement to these General Terms and Conditions is only valid if deriving from an agreement signed by both Parties.

The acceptance of the supply of goods and services or the payments does not imply and cannot in any case be interpreted as acceptance by TECNICA GROUP of conditions that differ from these General Conditions.

Fulfilment of the Orders constitutes full acceptance of these General Conditions, as well as the special conditions indicated in the Orders, by the Supplier, pursuant to art. 1327 of the Italian Civil Code.

Section 1 – CHARACTERISTICS OF THE OFFER

1.1 The Offer shall be drawn up on the Supplier’s letterhead, dated and signed, also digitally, by an authorised person, and shall contain: (i) the technical aspects of the Projects, (ii) the relevant conditions, including the payment terms and any travel costs, (iii) the time validity and execution times of the Projects, (iv) any limitations applicable to the Buyer deriving from the use of the Supplier’s and/or third parties’ products, materials, instruments or methods.

1.2 The Offer, drawn up in accordance with art. 1.1 above, may be sent to the Buyer also only by e-mail to the Buyer’s internal contact person for the Project (hereinafter the “Contact Person”), or in any other manner agreed between the Contact Person and the Supplier.

Section 2 – ORDER ISSUE

2.1 The Offer shall be deemed to be accepted by the Buyer by issuing the relevant Order to the Supplier, unless otherwise agreed between the Parties.

2.2 The Order shall be deemed to have been issued by sending it to the Supplier by e-mail.

Section 3 – OBLIGATIONS OF THE SUPPLIER

3.1 The Supplier undertakes to execute the Projects in accordance with all the methods and timing indicated in the Offer and to execute them up to standard.

3.2 Without prejudice to any other right of the Buyer deriving from the Order, the provisions of the Italian Civil Code and/or special applicable regulations, if the Supplier does not execute the Projects completely, i.e., according to the technical specifications, the Buyer shall be entitled to order the Supplier to correct and/or supplement the errors, inaccuracies and/or incompleteness found at the expense of the Supplier, within the term that will be indicated, depending on the correction and/or supplement required, in the notice to comply that the Buyer shall send by registered letter with return receipt or by PEC (Italian certified e-mail) to the Buyer, the term of which the Parties already agree may be shorter than that indicated in art. 1454 of the Italian Civil Code. Once this term has expired, the Order shall be considered terminated pursuant to art. 1456 of the Italian Civil Code.

3.3 For the implementation of the Projects, the Supplier shall use employees regularly employed in accordance with the applicable Italian law. The use of ancillary casual/occasional labour is forbidden in any case. The use by the Supplier of VAT registered personnel, duly subject to a contract, is admitted only if such personnel carries specific professionalism and works for multiple clients. The Supplier undertakes to comply with all its obligations of a remunerative/economic nature – including the payment of social security and insurance contributions – as well as tax and accident insurance, and to comply with all other provisions in force for the protection of its employees or of personnel linked to the Supplier by relationships other than that of employment.

3.4 Without prejudice to the foregoing, the Supplier expressly assumes any and all liability, none excluded, that may derive directly and/or indirectly from damage and/or defects assignable to the incorrect execution of the Projects. As an example, but not limited to it, the Supplier undertakes to indemnify and in any case hold harmless the Buyer from any liability, including indirect liability, from any charge that may arise therefrom, as well as from any legal action brought by third parties, in any way connected with the execution of the Projects; to indemnify and in any case hold harmless the Buyer from any action, claim, demand or request – including charges of any kind and penalties – made by the Supplier’s employees or by personnel holding a VAT number and/or linked to the Supplier by relationships other than that of employment, by subcontractors, where authorised, by the employees of the subcontractors, or by personnel holding a VAT number and/or linked to the subcontractor by relationships other than that of employment, where authorised, by social security institutions, authorising the Buyer as of now to withhold from the sums due any amounts claimed by such subjects for reasons connected to the execution of the Project/s; with reference to any claims made by social security institutions, the Supplier authorises the Buyer to withhold from the sums due any amounts claimed until the Supplier provides proof of fulfilment; to comply with all the provisions of the laws in force on the subject of safety, hygiene and health of workers.

Section 4 – SUPPLIER INDEPENDENCE

4.1 The Supplier will carry out the activity covered by the Order by organising its own means and personnel. In this respect, the Parties declare that no employment relationship will exist between them.

4.2 It is understood that, in the execution of the Projects, the Supplier shall comply with the instructions given by the Buyer, without this in any way constituting an employment relationship between the Supplier and the Buyer, or between the Supplier’s collaborators and/or employees and the Buyer.

Section 5 – VERIFICATIONS BY THE BUYER

5.1 At any time, the Buyer shall be entitled to verify, with its own personnel and/or through companies or persons it has appointed, that the Projects provided by the Supplier are being carried out in a workmanlike manner.

5.2 If the Buyer finds even a single non-conformity in the execution of the Projects, the provisions of the preceding art. 3.2 shall apply.

Section 6 – CHANGES DURING THE AGREED TERM

6.1 Without prejudice to the application of art. 1659, 1660 and 1661 of the Italian Civil Code, the Buyer reserves the right to make any changes to the specifications that it deems useful for the best execution of the Projects.

6.2 These variations will be the subject of specific written amendments.

Section 7 – CONSIDERATION AND PAYMENTS

7.1 The Supplier acknowledges that:

7. 4 The Supplier commits to notify TECNICA GROUP a single direct debit (or bank detail), valid for the entire duration of the agreed contract, and to clearly indicate the IBAN code of the current account, on which the payment must be made. In case of amendments or changes, the Supplier commits to notify the details to TECNICA GROUP at least 60 (sixty) days before the payment due date by PEC (Italian certified email).

Section 8 – INTELLECTUAL PROPERTY RIGHTS

8.1 Understood that each Party shall in any case remain the owner of the products, materials, instruments, methodologies and know-how that are its property prior to the issue of the Order and that it may use during the execution of the Project, the Buyer shall progressively become the owner of the rights of use relative to all the results developed individually by the Supplier or jointly by the Parties, if these are not the property of third parties and are bound by them. Such right of the Buyer to the outcomes of the Project shall also include the right to exercise any patent rights and/or file patent applications relative to such results. If the Project entails the use of products, materials, instruments or methods of third parties in order to carry out the same, the Supplier guarantees that it has illustrated in the Offer every limitation and burden applicable to the Buyer, holding the Buyer harmless from any claim for damages or compensation by third parties if the latter complies with the limitations and bears the burdens indicated in the Offer.

8.2 The Supplier warrants that any activity and/or documentation under its responsibility under the Order shall not infringe, for any reason or cause whatsoever, the rights of third parties, including, by way of example, intellectual or industrial property rights, expressly indemnifying the Buyer against any loss, damage or economic consequence (including legal and procedural expenses) that may be obtained or claimed by any third party relating, directly or indirectly, to all the activities and/or documentation under the Supplier’s responsibility under the Order.

Section 9 – GUARANTEES

9.1 The Supplier declares and guarantees that it possesses the knowledge, skills and technical-professional experience, as well as the organisation of the means and personnel necessary for the purposes of executing the Projects in a workmanlike manner and according to the technical specifications. In particular, each activity relating to the Projects shall guarantee adequate security relative to the risks of the specific context (by way of example, but not limited to, business and personal data processed, etc.). Furthermore, the Supplier shall allow the Buyer, taking into account the state of the art, the costs, the nature, the scope and the purpose of the Project, to adopt, at any time, any technical and organisational measures necessary to guarantee the management of security risks, implement the principles entailed in the matter of data protection and protect the rights of the interested parties, also with reference to the provisions of the following art 19.

9.2 In any case, the Supplier undertakes to indemnify the Buyer against all damages (direct and indirect) that the Buyer may incur as a result of third-party claims and/or actions due to defects, faults or non-conformities in the execution of the Projects.

9.3 For the purposes of the provisions of art. 26 paragraph 5 of Legislative Decree no. 81 of 9 April 2008 (on the protection of health and safety in the workplace, as amended by Legislative Decree no. 106 of 3 August 2009), the Supplier declares that the economic conditions of the Offer include the charges relating to the protection of health and safety in the workplace and that this value, to be borne by the Supplier, has not been subject to rebate.

9.4 Without prejudice to the foregoing, should the Project take place on premises that fall within the scope of art. 26 of Legislative Decree no. 81/2008, the Supplier shall be obliged, also on behalf of any subcontractors, if authorised, and their personnel:

  1. to take note of and comply with the safety, hygiene, fire prevention and ecological rules in force, including those of a company nature, as well as the provisions relating to the coordination of risk protection and prevention measures by the Buyer;
  2. to cooperate with the Buyer in the preparation of the necessary documents (by way of example, a single document assessing the risks of interference between the Buyer’s and the Supplier’s organisations, as provided for by art. 26, paragraph 3, of Legislative Decree no. 81/2008) and to estimate any safety costs;
  3. to inspect in advance the premises where they may be required to work;
  4. to make its own personnel (and/or any subcontractors, where authorised, and their personnel) aware of any risks existing in the environment in which they will work and of the procedures in force, equipping them with personal protective equipment (PPE) and all other necessary means of protection, in accordance with the regulations in force, keeping constant control and selecting in the preparation of work procedures and in the choice of equipment and materials – those that determine the lowest risk for persons, also from the point of view of the so-called “interferences”;
  5. to inform the Buyer of (i) any risks specific to its own activity that may in any case affect the Buyer’s employees and/or other persons who may be on the premises for any reason whatsoever, (ii) any hazardous situation encountered, as well as (iii) any information necessary to eliminate any risks due to interference between the activities carried out by the Supplier and other activities carried out on the premises concerned;
  6. To provide a list of personnel, and personnel of authorised subcontractors, who will have access to the premises;
  7. to comply with all of the Buyer’s instructions and to preserve the integrity, functionality and property of the Buyer’s facilities.

9.5 The Supplier shall indemnify and hold harmless the Buyer, at all times, against all damages, actions, costs, expenses (including legal expenses) and claims that may be asserted in or out of court by any party due to violation of the provisions of this art. 9.

Section 10 – PENALTIES

10.1 The Supplier shall pay the Buyer, as a penalty, the sum of Euro 10,000.00 (ten thousand/00) for each breach of the confidentiality obligations referred to in art. 16 below.

10.2 Payment by the Supplier as a penalty shall not limit the Buyer’s right to claim further damages, nor to exercise its right to terminate the Order pursuant to art. 12 below.

Section 11 – RIGHT OF COMPENSATION AND SUSPENSION OF PAYMENTS

11.1 Without prejudice to the provisions of art. 3.4 above, the Buyer shall have the right to offset all sums owed to it by the Supplier under any title, including those relating to penalties and compensation for damages, against those owed to the Supplier by the Buyer on whatever basis.

11.2 However, in the event of non-fulfilment by the Supplier of any of the provisions of these General Terms and Conditions, the Buyer shall have the right to suspend payment of the Consideration until the date of effective fulfilment by the Supplier and/or any other agreement between the Parties; in this case, the Buyer shall not be obliged to pay interest on the delayed payment of the Consideration.

11.3 By express agreement between the Parties, the suspension of payments referred to in art. 11.2 above as well as any dispute arising between the Parties shall not suspend or delay the Supplier’s obligation to execute the Projects in accordance with the provisions of these General Conditions, with express waiver of exceptions of any kind.

Section 12 –EXPRESS TERMINATION CLAUSE AND FORCE MAJEUR

12.1 Subject to art. 3.2 above and art. 19 below, in addition to the penalty under art. 10 above, the Buyer may terminate the Purchase Order pursuant to art. 1456 of the Italian Civil Code in the event of any of the breaches listed below:

(a) infringement of the intellectual property rights of third parties, within the meaning of Art. 8.2;

(b) failure to meet the requirements of art. 9;

(c) failure by the Supplier to comply with the confidentiality obligations referred to in art. 16 below.

(d) transfer/lease by the Supplier of the business or transfer/lease of the branch of the business in respect of the services to which the Supplier is obliged under these General Conditions;

(e) change in the controlling corporate structure of the Supplier;

(f) Supplier in liquidation, including voluntary liquidation; the Supplier applies for or is subject to composition, including out-of-court composition, or other insolvency proceedings.

12.2 Each party shall not be liable for failure to perform its obligations under the Purchase Orders, if and as long as such non-fulfilment is the result of unforeseeable and/or unavoidable circumstances (e.g. wars, natural events, disasters, strikes, pandemics, etc.), such as to prevent the fulfilment of the contractual obligations (“Force Majeure”), provided that the Party with respect to which such Force Majeure operates notifies the other Party within 48 hours of the occurrence of the event, also notifying the possible consequences and the expected delay in the fulfilment of the Purchase Order.

Section 13 – WITHDRAWAL

13.1 The Buyer may withdraw from the Order at any time by means of a registered letter with return receipt or by Italian certified e-mail (PEC), to be sent to the Supplier. The withdrawal shall become effective 30 (thirty) days from the date of receipt of the withdrawal notification by the Supplier.

Section 14 – CONSEQUENCES OF THE TERMINATION OF THE EFFECTS OF THE ORDER

14.1 In the event of termination of the Order before its expiry date, the Supplier shall only be entitled to the Consideration to the extent of the amount accrued up to the date of termination of the Order, based on the services actually performed.

14.2 In the event of natural expiry, withdrawal, termination or cessation of the effects of the contract for any reason whatsoever, the Supplier shall provide the Buyer with the services necessary to ensure, among other things, the extraction of the Buyer’s data and to facilitate the orderly transfer and migration of this data to the Buyer or to the supplier designated by the Supplier for this purpose, so as to allow its availability without interruption. Once the data transfer has been completed, the Supplier undertakes to delete this data from its systems, confirming this in writing to the Buyer within 30 (thirty) days.

Section 15 – PROHIBITION OF ASSIGNMENT AND SUBCONTRACTING

15.1 The Supplier may not assign or subcontract all or part of the Order without the prior written consent of the Buyer, which will be given at the Buyer’s sole discretion.

15.2 It is expressly forbidden to assign claims against the Buyer that arise in favour of the Supplier on the basis of the Order, except with the prior written consent of the Buyer.

Section 16 – CONFIDENTIALITY

16.1 The Supplier undertakes to adopt all measures compliant with the state of the art to maintain secrecy and ensure that it does not disclose to third parties the content of any information or data supplied by the Buyer or generated by the Supplier and processed by the latter in any manner whatsoever for the purposes and/or execution of the Order, including – by way of example but not limited to – ideas, various materials, documents in any format even electronic, products of any kind, as well as any information relating to processes, internal procedures and/or adopted by the Buyer in its relations with customers or suppliers, network and stand-alone hardware and software used by the Buyer, developments, experimental work, implementation of projects, activities, industrial and commercial secrets, and any other fact concerning any of the Buyer’s activities, in any way collected or processed by the Supplier, including remote connection to the Buyer’s instruments and computer networks (hereinafter “Confidential Information”).

Section 17 – TERMINATION OF SUPPLIER’S ACTIVITY

17.1 In the event of circumstances that indicate that the Supplier may not be able to ensure the current fulfilment of the commitments undertaken, and in the event of bankruptcy, composition or any other insolvency proceedings against the Supplier, or in the event of liquidation or transfer of the Supplier’s business, the Buyer shall have the right to withdraw from the Order with immediate effect, by means of a simple written notification.

Section 18 – COMPLIANCE WITH LAWS, REGULATIONS AND DECREES

18.1 The Supplier declares that all its personnel, including those involved in the execution of the Projects, are duly employed, staffed and paid in accordance with the laws and the National Collective Regulations of the sector, as well as insured with the relevant Social Security Institutions (INPS, INAIL, INAM) according to the regulations in force.

Section 19 – CODE OF ETHICS, ORGANISATION MODEL, MANAGEMENT AND CONTROL EX LEGISLATIVE DECREE N. 231/2001 AND PRIVACY

19.1 The Supplier undertakes, on his own behalf and in accordance with art. 1381 of the Italian Civil Code for his employees, consultants, collaborators and any Authorised Third Party Suppliers, to abide by the ethical principles that TECNICA GROUP has set out in its Code of Ethics and Organisational Model, published on the TECNICA GROUP website (https://www.tecnicagroup.com/legal-area/) which it declares to have read and which constitutes an integral and substantial part of the present document.

19.2 The Supplier declares and warrants that there is no liability against itself or its authorised subcontractors:

  1. insolvency proceedings in progress;
  2. rejected checks or other acts detrimental to the reliability and morality of the Supplier and/or the subcontractors and/or their respective Shareholders and Legal Representatives/Directors;
  3. serious administrative sanctions, including sanctions for breach of environmental protection, accident prevention and occupational hygiene regulations issued by the relevant administrative, judicial or supervisory bodies having jurisdiction in the relevant legal system.

In the case of non-fulfilment or if the statements made in this Section 19 do not correspond to the truth, TECNICA GROUP will have the right to terminate the agreements relative to the Purchase Orders according to art. 1456 of the Italian Civil Code, without prejudice to the right to request compensation for any damages suffered and any other remedy allowed.

19.3 The Supplier undertakes to fully apply the collective labour agreements and to comply with the regulations on social security and taxation, contributions, wages, welfare, social security and accident insurance; the Supplier also undertakes to pay the contributions due in accordance with the applicable regulations on employment relationships, welfare, social security and the employment of manual labour, as well as to regularly and punctually pay the due amounts to its employees and to pay the contributions and charges required by law, including taxation. The Supplier undertakes, pursuant to and for the purposes of art. 1381 of the Italian Civil Code, to ensure that the aforementioned contractual and regulatory obligations are also fulfilled by any Authorised Third Party Suppliers.

Consequently, the Supplier guarantees that its own personnel and any Authorised Third Party Suppliers have no claim against TECNICA GROUP for the activities carried out in execution of the Purchase Orders, for any reason and/or cause. The Supplier commits to keep TECNICA GROUP indemnified and unharmed from any possible claim that could be made by the aforementioned personnel against it, and therefore to reimburse TECNICA GROUP, at the first written request and after having removed any reservation, any amount that TECNICA GROUP is obliged to pay to personnel, for any reason whatsoever, for any executive measure that could be issued against TECNICA GROUP by the Judicial and/or Administrative Authorities, as well as any expense that TECNICA GROUP is obliged to incur in relation to such claims, including legal expenses.

Individuals who, in execution of an order or contract, carry out work in a TECNICA GROUP factory and/or premises must comply with the relevant work regulations. Without prejudice to the application of art. 1229 of the Italian Civil Code, TECNICA GROUP is not responsible for any accidents that occur in TECNICA GROUP’s plants and/or offices.

19.4 TECNICA GROUP informs that the data collected, stored and registered regarding the present document and to the Purchase Orders/Contracts will be subject to processing, both manual and automated, by TECNICA GROUP through authorised persons, for the fulfilment of legal and contractual obligations and for the management of commercial relations, in accordance with the provisions of Legislative Decree 196/2003 “Personal Data Protection Code” and subsequent amendments and the General Data Protection Regulation (GDPR) 2016/679, and the Supplier declares to give its consent, where necessary, to the processing and communication of its data. The data collected and processed may be communicated to third parties, without territorial limitations, exclusively for the purposes set out in this document. The Supplier declares to have read the information notice published on the TECNICA GROUP website (https://www.tecnicagroup.com/privacy-policy/).

Section 20 – INSURANCE

20.1 The Supplier shall take out and maintain at its own expense an insurance policy to adequately cover its obligations and liabilities arising from the Purchase Orders.

Section 21 – APPLICABLE LAW AND COURT OF JURISDICTION

21.1 These General Conditions are subject to Italian law. For all matters not expressly provided for, the regulations on contracts and contracts in general contained in the Civil Code shall apply.

21.2 Any dispute relating to the interpretation or execution of the Order and/or these General Conditions shall be subject to the exclusive jurisdiction of the Court of Treviso.





CONDIZIONI GENERALI DI ACQUISTO PER ATTIVITA’ DI FORNITURA DI BENI E DI SERVIZIO




Le seguenti Condizioni Generali (“Condizioni Generali”) si applicano a tutte le forniture di beni e servizi oggetto di Ordine di Acquisto (“Ordini”) formulati da Tecnica Group S.p.A. (“TECNICA GROUP” e/o “il Committente”), laddove non espressamente derogate nei suddetti Ordini. Pertanto, eventuali previsioni che differiscano dalle presenti Condizioni Generali, ovvero eventuali condizioni di vendita del Fornitore, non saranno vincolanti per TECNICA GROUP salvo accettazione per iscritto. L’accettazione della fornitura di beni e servizi o l’effettuazione di pagamenti non comporta e non potrà in nessun caso essere interpretata come accettazione da parte di TECNICA GROUP di condizioni diverse dalle presenti Condizioni Generali.

L’evasione dell’Ordine rappresenta integrale accettazione delle presenti Condizioni Generali, nonché delle condizioni particolari indicate nell’Ordine, da parte del Fornitore, ai sensi dell’art. 1327 c.c.

Se il Fornitore non accetta l’Ordine in forma scritta entro 2 (due) settimane di calendario dalla sua ricezione, TECNICA GROUP avrà il diritto di annullarlo.

Sezione 1

A) – FORNITURA DI BENI

1A.1 I prezzi della fornitura si intendono fissi ed invariabili per tutta la durata dell’Ordine, avendo le parti concordato l’inapplicabilità delle disposizioni di cui all’art.1467 c.c. e dell’art 1664 c.c.

1A.2. Il Fornitore si obbliga:

  1. a consegnare, a propria cura e spese, i beni e i prodotti ordinati nei termini e nei luoghi indicati nell’Ordine;
  2. ad effettuare a propria cura e spese gli imballi, il carico e lo scarico, il trasporto e la consegna dei beni forniti, nonché l’eventuale smaltimento di materiali residui garantendo il pieno rispetto di ogni normativa applicabile;
  3. ad eseguire la consegna corredando i beni di regolare documento di trasporto merci o altro documento sostitutivo valido a norma di legge, nel quale dovrà essere riportato il relativo numero dell’Ordine emesso oltre alla descrizione e alla quantità e unità di misura dei beni oggetto di consegna;
  4. a garantire che i beni oggetto della fornitura siano esenti da difformità e vizi ed in tutto conformi a quanto richiesto da TECNICA GROUP (ad esempio specifiche tecniche, requisiti qualità, specifiche per consegna e imballo) e alle normative e prescrizioni di legge nazionali e comunitarie applicabili in materia. I beni e i prodotti difettosi o non conformi alle prescrizioni di legge o alle condizioni pattuite saranno rifiutati e rimessi a disposizione del Fornitore;
  5. ad informare tempestivamente TECNICA GROUP di qualsiasi evento accidentale o possibile difetto dei beni forniti, che possa pregiudicare la sicurezza del loro impiego o lavorazione o che li renda non conformi alle prescrizioni di legge o alle condizioni pattuite;
  6. a garantire la pronta riparazione o sostituzione gratuita dei beni difettosi o non conformi alle prescrizioni di legge e/o alle specifiche tecniche di TECNICA GROUP. In ogni caso saranno addebitati al Fornitore il costo delle operazioni di smontaggio, montaggio ed accertamento del vizio/difformità e della riparazione o sostituzione, nonché le spese di trasporto, fatto salvo il risarcimento degli ulteriori danni.

1A.3. Le condizioni di consegna e resa della merce dovranno intendersi, salvo eventuali diverse previsioni contenute negli Ordini, DDP (franco destino, ovvero inclusi costi di imballaggio, trasporto, oneri doganali ed assicurativi) presso la sede/stabilimento di TECNICA GROUP indicata nell’Ordine. La consegna della merce al vettore o allo spedizioniere non libera il Fornitore dall’obbligo della consegna.

1A.4. Il Fornitore prende atto del fatto che l’Ordine potrà prevedere delle penali per i casi di ritardata consegna, non conformità della fornitura, etc., fatti salvi i casi di forza maggiore debitamente documentati. Inoltre, in considerazione dell’obbligo assunto dal Fornitore al rispetto dei termini di consegna previsti dall’Ordine e/o delle esigenze produttive di TECNICA GROUP, in caso di ritardo nella consegna totale o parziale, ad esclusione dei casi di forza maggiore debitamente comunicati, superiore ad un massimo di 15 (quindici) giorni naturali e consecutivi, TECNICA GROUP avrà facoltà di risolvere di diritto l’accordo relativo all’Ordine ai sensi dell’art. 1456 c.c., fatto salvo il risarcimento dei danni.

1A.5. L’accettazione della fornitura è in ogni caso condizionata all’esito positivo del collaudo/verifica della stessa da parte di TECNICA GROUP. Nel caso d’esito negativo del collaudo/verifica il Fornitore s’impegna a sostituire e/o ripristinare la funzionalità dei beni della fornitura entro il termine che verrà fissato da TECNICA GROUP d’intesa con il Fornitore medesimo, fatta salva la facoltà di richiedere il risarcimento del danno per la mancata consegna e/o l’applicazione delle eventuali penali previste per ritardata consegna.

1A.6 Fatto salvo il diritto di TECNICA GROUP di rifiutare i beni non conformi a quanto richiesto da TECNICA GROUP, la proprietà dei beni e prodotti passerà a TECNICA GROUP al momento della consegna nel luogo indicato nell’Ordine.

1A.7. Nessuna responsabilità spetta a TECNICA GROUP per forniture in eccedenza non concordate preventivamente dal Fornitore con TECNICA GROUP, che saranno rifiutate con onere a carico del Fornitore stesso.

B) – FORNITURA DI SERVIZI

1B.1. I prezzi della fornitura si intendono fissi ed invariabili per tutta la durata dell’Ordine. Resta esclusa l’applicabilità delle disposizioni di cui agli artt. 1467 c.c. e 1664 c.c.

1B.2. Il Fornitore si obbliga ad eseguire i servizi oggetto dell’Ordine in piena autonomia, con organizzazione dei mezzi necessari e gestione a proprio rischio, e con la diligenza richiesta dalla natura delle prestazioni previste.

1B.3. Il Fornitore prende atto del fatto che l’Ordine potrà prevedere delle penali per i casi di ritardata prestazione dei servizi e/o mancato rispetto dei livelli di servizio indicati nell’Ordine etc., fatti salvi i casi di forza maggiore debitamente documentati. Inoltre, in considerazione dell’obbligo assunto dal Fornitore al rispetto dei termini di consegna previsti dall’Ordine e delle esigenze di TECNICA GROUP, in caso di ritardo nella prestazione dei servizi, ad esclusione dei casi di forza maggiore debitamente comunicati, superiore ad un massimo di 15 (quindici) giorni naturali e consecutivi, TECNICA GROUP avrà facoltà di risolvere di diritto l’accordo relativo all’Ordine ai sensi dell’art. 1456 c.c., fatto salvo il risarcimento dei danni.

Sezione 2 – CONDIZIONI DI PAGAMENTO

2.1 Il Fornitore prende atto del fatto che:

  1. le fatture potranno essere emesse dal Fornitore solo alla spedizione del bene e alla fornitura del servizio a TECNICA GROUP;
  2. le fatture dovranno riportare sempre il riferimento al numero dell’Ordine e, per quanto riguarda la fornitura di beni anche al documento di trasporto, alle quantità/unità di misura/prezzi/valuta e dovranno essere emesse con la cadenza eventualmente concordata;
  3. nel caso di eventuali divergenze tra gli Ordini e i dati in fattura, il Fornitore dovrà rettificare le fatture in conformità agli Ordini, emettendo documenti di rettifica. Le eventuali note di credito e/o di debito dovranno fare riferimento alla relativa fattura originaria riportandone il numero e la data nonché il numero del documento di trasporto e dell’Ordine.

2.2 Ai sensi e per gli effetti dell’art. 4, co. 3, del D. Lgs. 231/2002, come modificato dal D. Lgs. 192/2012, il Fornitore prende atto ed accetta, salvo eventuali diverse previsioni contenute negli Ordini come termini di pagamento i 90 giorni fine mese data fattura, considerando la data di emissione fattura convenzionalmente fissata all’ultimo giorno del mese. Il pagamento delle fatture avverrà a mezzo bonifico bancario.

2.3 In caso di applicazione di penali, TECNICA GROUP emetterà apposita fattura/nota di debito (fuori campo IVA ex art. 15 DPR 633/72 e succ. mod.) con pagamento a 60 giorni dalla data di emissione della stessa fattura/nota di debito.

2.4 Il Fornitore si impegna a comunicare a TECNICA GROUP un’unica domiciliazione di pagamento (o appoggio bancario), valida per tutta la durata del rapporto, ed a indicare chiaramente il codice IBAN relativo al conto corrente, sul quale deve essere effettuato il pagamento. In caso di variazione, il Fornitore si impegna a comunicare i dettagli a TECNICA GROUP almeno 60 (sessanta) giorni prima della scadenza del pagamento a mezzo PEC.

Sezione 3 – TERZI FORNITORI AUTORIZZATI – DIVIETO DI CESSIONE

3.1 Tenuto conto della natura e dello scopo della fornitura, il Fornitore non ha la facoltà di affidare a terzi, in tutto o in parte, la produzione e/o fornitura dei beni o servizi senza la preventiva autorizzazione scritta di TECNICA GROUP. Il Fornitore che affidi a terzi fornitori autorizzati da TECNICA GROUP ai sensi del presente art. 3.1 (nel seguito, i “Terzi Fornitori Autorizzati”) l’esecuzione, in tutto o in parte, delle forniture dovute, non è liberato dagli obblighi e dalle responsabilità assunte nei confronti di TECNICA GROUP con le presenti Condizioni Generali.

Ai fini dell’ottenimento della preventiva autorizzazione scritta da parte di TECNICA GROUP di cui al presente art. 3.1, il Fornitore comunicherà in forma scritta il nominativo e l’indirizzo della sede legale nonché il luogo di produzione del terzo fornitore, nonché le attività ad esso affidate e ogni altra informazione che TECNICA GROUP dovesse ritenere utile e necessaria. Per tutte le forniture affidate a Terzi Fornitori Autorizzati, il Fornitore si impegna in ogni caso anche a fare in modo che i Terzi Fornitori Autorizzati eseguano la fornitura secondo le modalità richieste da TECNICA GROUP nel rispetto delle presenti Condizioni Generali ed in particolare della Sezione 6 – Diritti di Proprietà Intellettuale.

In caso di compimento da parte di ciascun Terzo Fornitore Autorizzato di uno o più atti vietati ai sensi delle presenti Condizioni Generali e di quanto stabilito nel presente articolo 3.1, dietro semplice richiesta di TECNICA GROUP, il Fornitore cesserà qualsiasi rapporto e risolverà il relativo contratto con il Terzo Fornitore Autorizzato in questione e farà in modo che quest’ultimo cessi immediatamente ogni attività relativa alla fornitura ad esso delegata.

3.2 E’ fatto divieto al Fornitore di cedere gli Ordini ed i crediti verso TECNICA GROUP, nonché di conferire mandati all’incasso, salvo autorizzazione scritta di TECNICA GROUP.

Sezione 4 – RISOLUZIONE – RECESSO – FORZA MAGGIORE

4.1 Il Fornitore riconosce che l’adempimento di determinate obbligazioni previste dagli Ordini è essenziale e che TECNICA GROUP avrà il diritto, oltre al risarcimento del danno, di risolvere gli accordi relativi agli Ordini ai sensi dell’art. 1456 c.c. qualora si verifichi una delle seguenti ipotesi:

  1. ritardo nell’esecuzione delle forniture, salvo i casi di forza maggiore, superiore a 15 (quindici) giorni naturali e consecutivi come previsto dagli artt. 1A4 e 1B3 delle presenti Condizioni Generali;
  2. inadempimento, non di scarsa importanza, delle obbligazioni contenute negli artt. 1A.2, 1B.2, 3, 5 e 6;
  3. cessione/affitto, da parte del Fornitore, dell’azienda o cessione/affitto del ramo di azienda riguardo le prestazioni cui il Fornitore è obbligato ai sensi delle presenti Condizioni Generali;
  4. mutamento dell’assetto societario di controllo del Fornitore;
  5. assoggettamento del Fornitore a liquidazione, anche volontaria; presentazione di istanza o assoggettamento del Fornitore a concordato, anche stragiudiziale, ovvero ad altra procedura concorsuale.
  6. deterioramento delle condizioni patrimoniali/finanziarie del Fornitore al punto da compromettere l’impegno di fornitura nei confronti di TECNICA GROUP.

4.2 Le ipotesi particolari di recesso e/o risoluzione sono disciplinate negli Ordini.

4.3 Ciascuna parte non sarà ritenuta responsabile per il mancato adempimento delle obbligazioni derivanti dagli Ordini, qualora e finché tale inadempienza sia il risultato di circostanze imprevedibili e/o inevitabili (a titolo esemplificativo guerre, eventi naturali, calamità, scioperi, pandemie ecc.), tali da impedire l’adempimento degli obblighi contrattuali (“Forza Maggiore”), a condizione che la Parte rispetto alla quale tale Forza Maggiore operi ne dia notizia all’altra Parte entro 48 ore dal manifestarsi dell’evento, comunicando altresì le possibili conseguenze ed il ritardo previsto nell’evasione dell’Ordine.

Sezione 5 – CODICE ETICO E MODELLO ORGANIZZATIVO – PRIVACY

5.1 Il Fornitore, nell’esecuzione degli Ordini si impegna, in proprio ed ai sensi dell’art. 1381 c.c. per i propri dipendenti, consulenti, collaboratori ed eventuali Terzi Fornitori Autorizzati, ad aderire ai principi etici che il gruppo TECNICA GROUP ha enunciato nel proprio Codice Etico e Modello Organizzativo, pubblicato sul sito internet di TECNICA GROUP (https://www.tecnicagroup.com/legal-area/) di cui dichiara di aver preso visione e che costituisce parte integrante e sostanziale del presente documento.

5.2 Il Fornitore dichiara e garantisce che non esistono a proprio carico né a carico dei propri subappaltatori autorizzati:

  1. procedure concorsuali in corso;
  2. protesti o altri atti pregiudizievoli dell’affidabilità e moralità riferiti al Fornitore e/o ai subappaltatori e/o rispettivi Soci e Legali Rappresentanti/Amministratori;
  3. gravi sanzioni amministrative comprese le sanzioni per violazione di prescrizioni in tema di Tutela Ambientale, di Prevenzione Infortuni ed Igiene del Lavoro emessi dai preposti organi amministrativi, giudiziari o commissioni di vigilanza aventi competenza in materia nell’ordinamento giuridico di riferimento.

In caso di inadempimento o di non corrispondenza al vero di quanto dichiarato nella presente Sezione 5, TECNICA GROUP avrà la facoltà di risolvere di diritto gli accordi relativi agli Ordini ai sensi dell’art. 1456 c.c., fatta salva la facoltà di richiedere il risarcimento degli eventuali danni subiti ed ogni ulteriore rimedio consentito.

5.3 Il Fornitore si impegna a dare piena applicazione ai contratti collettivi di lavoro e ad osservare la normativa in materia di assicurazioni sociali e i materia fiscale, contributiva, retributiva, assistenziale, previdenziale ed infortunistica; il Fornitore si impegna inoltre a versare i contributi dovuti ai sensi della vigente normativa in materia di rapporto di lavoro subordinato, di assistenza, previdenza sociale ed impiego della mano d’opera, nonché a pagare regolarmente e puntualmente i dovuti corrispettivi al proprio personale dipendente e a versare i contributi e gli oneri di legge, compresi quelli fiscali. Il Fornitore si impegna, ai sensi e per gli effetti di cui all’articolo 1381 cod. civ., a far sì che le suddette obbligazioni contrattuali e normative siano adempiute anche dagli eventuali Terzi Fornitori Autorizzati.

Conseguentemente il Fornitore garantisce che il proprio personale ed eventuali Terzi Fornitori Autorizzati non avranno nulla a pretendere nei confronti di TECNICA GROUP per le attività dallo stesso svolte in esecuzione degli Ordini di Acquisto, ad alcun titolo e/o ragione. Il Fornitore si impegna a tenere TECNICA GROUP manlevata ed indenne da ogni eventuale pretesa dovesse a qualsiasi titolo essere avanzata dal predetto personale nei suoi confronti, e quindi a rimborsare a TECNICA GROUP, a prima richiesta scritta e rimossa ogni eccezione, qualsiasi importo TECNICA GROUP fosse tenuta a corrispondere al personale, a qualsiasi titolo, a fronte di ogni provvedimento esecutivo dovesse essere emesso nei confronti di TECNICA GROUP dall’Autorità Giudiziaria e/o amministrativa, così come qualsiasi spesa TECNICA GROUP fosse tenuta a sostenere in relazione a dette pretese, incluse le spese legali.

Le persone che in esecuzione di un ordine o di un contratto eseguano lavori in uno stabilimento e/o sede di TECNICA GROUP dovranno uniformarsi ai relativi regolamenti lavorativi. Fatta salva l’applicazione dell’art. 1229 cc, è esclusa qualsiasi responsabilità di TECNICA GROUP per incidenti che si verifichino negli stabilimenti e/o sedi di TECNICA GROUP.

5.5 TECNICA GROUP comunica che i dati raccolti, memorizzati e registrati in relazione al presente documento e agli Ordini saranno oggetto di trattamento, sia manuale che automatizzato da parte di TECNICA GROUP per il tramite di persone all’uopo autorizzate, per l’adempimento degli obblighi legali, contrattuali e per la gestione dei rapporti commerciali, nel rispetto di quanto previsto dal D. Lgs. 196/2003 “Codice in materia di protezione dei dati personali” e successive modifiche e del Regolamento generale sulla protezione dei dati (GDPR) 2016/679 e il Fornitore dichiara di dare il proprio consenso, ove occorra, al trattamento ed alla comunicazione dei propri dati. I dati raccolti ed elaborati potranno essere comunicati a terzi, senza limitazioni territoriali, esclusivamente per le finalità di cui al presente documento. Il Fornitore dichiara di avere preso visione della informativa pubblicata sul sito di TECNICA GROUP (https://www.tecnicagroup.com/privacy-policy/).

Sezione 6 – DIRITTI DI PROPRIETA’ INTELLETTUALE – RISERVATEZZA

6.1 I marchi di proprietà o concessi in licenza a TECNICA GROUP (i “Marchi”) sono e rimangono in proprietà esclusiva/licenza della medesima e non potranno essere in alcun modo trasferiti a terzi, modificati né utilizzati per altri fini diversi da quelli eventualmente ed espressamente previsti dagli Ordini.

6.2 Il Fornitore si obbliga ad utilizzare i Marchi secondo le modalità specificate per iscritto da TECNICA GROUP ed unicamente allo scopo di adempiere agli Ordini ed a fare in modo che:

  1. i Terzi Fornitori Autorizzati appongano solo ove richiesto in forma scritta da TECNICA GROUP i Marchi;
  2. i Terzi Fornitori Autorizzati non consegnino o in alcun modo forniscano o vendano a soggetti terzi, diversi dal Fornitore e TECNICA GROUP, i beni recanti i Marchi. Il Fornitore rimarrà in ogni caso responsabile per l’uso dei Marchi da parte dei Terzi Fornitori Autorizzati.

6.3 Il Fornitore garantisce che i beni ed i servizi forniti a TECNICA GROUP non violano in alcun modo diritti di terzi.

Qualora il Fornitore, nell’esecuzione degli Ordini, intenda utilizzare dispositivi, soluzioni tecniche e qualsiasi altro materiale soggetto a diritti di proprietà intellettuale appartenente a terzi, dovrà, informando preventivamente TECNICA GROUP, fare in modo che le sia attribuito il diritto di utilizzarli, senza alcun ulteriore onere.

Il Fornitore si impegna a risarcire ogni danno e a sostenere ogni onere, incluse le spese legali in relazione a qualsiasi pretesa o azione legale promossa a qualsiasi titolo da terzi nei confronti di

TECNICA GROUP laddove tale azione sia relativa alla violazione di tali diritti di proprietà intellettuale.

6.4 Il Fornitore riconosce che le informazioni ed i materiali (a titolo esemplificativo e non esaustivo disegni, campioni, specifiche e schede tecniche ecc.) trasmessigli da TECNICA GROUP appartengono in via esclusiva a TECNICA GROUP e rivestono carattere di riservatezza. Pertanto, nessun diritto sui medesimi potrà essere rivendicato dal Fornitore.

Il Fornitore si impegna, direttamente ed ai sensi dell’art. 1381 c.c. per i propri amministratori, dipendenti, Terzi Fornitori Autorizzati, consulenti e/o collaboratori a qualsiasi titolo impiegati nelle attività, ad utilizzare le informazioni ed i materiali di cui sopra solo per adempiere agli ordini di Acquisto, nonché a trattarli e conservarli come confidenziali, affinché esse non vengano divulgati a terzi, ed a restituirli a TECNICA GROUP a semplice richiesta o in ogni caso una volta adempiuto l’Ordine.

6.5 Il Fornitore si impegna inoltre, direttamente ed ai sensi dell’art. 1381 c.c. per i propri amministratori, dipendenti, Terzi Fornitori Autorizzati, consulenti e/o collaboratori a qualsiasi titolo impiegati nelle attività, a cedere in favore di TECNICA GROUP medesima ogni diritto di proprietà intellettuale e di sfruttamento economico (salvi naturalmente i diritti morali) derivante dai beni appositamente ideati, personalizzati o forniti in esclusiva a TECNICA GROUP nell’esecuzione degli Ordini.

6.6 Tutti i beni (es. stampi, macchinari ecc.) di proprietà di TECNICA GROUP messi a disposizione del Fornitore per l’esecuzione dell’Ordine dovranno essere restituiti al termine del periodo di validità dell’Ordine, salvo diverso accordo tra le parti. Il Fornitore non potrà trasferire a terzi, modificare né utilizzare per altri fini i beni messi a disposizione da TECNICA GROUP e sarà responsabile della custodia, conservazione e buon uso degli stessi. In particolare, il Fornitore si impegna a utilizzare i suddetti beni con la massima cura e diligenza. In caso di distruzione, danneggiamento o perdita per propria colpa, il Fornitore sarà tenuto a sostituire o a riparare i suddetti beni a proprie cure e spese ovvero, ove ciò non sia possibile, provvederà a rimborsare TECNICA GROUP il valore residuo del bene calcolato sulla base dei prezzi correnti di mercato, fermo restando il risarcimento dell’eventuale maggior danno subito. Il Fornitore non è tenuto al pagamento di alcun indennizzo per la normale usura conseguente ad una corretta utilizzazione dei beni stessi.

Eventuali spese di imballaggio, trasporto, installazione, disinstallazione e manutenzione di tali beni saranno a carico del Fornitore. Il Fornitore, avendo preventivamente verificati e trovati sicuri ed idonei alla loro destinazione d’uso suddetti beni, manleva sin d’ora TECNICA GROUP da qualsiasi responsabilità per danni a persone e/o a cose che possano derivare da un uso improprio di essi.

6.7 Il Fornitore riconosce che TECNICA GROUP avrà la facoltà di verificare il corretto utilizzo dei Marchi, dei materiali, dei beni, delle informazioni confidenziali e di ogni altro diritto di proprietà intellettuale mediante ispezioni presso le sedi del Fornitore e dei Terzi Fornitori Autorizzati.

Sezione 7 – ASSICURAZIONE

Il Fornitore dovrà stipulare e mantenere valida a proprie spese una polizza assicurativa adeguata a coprire le sue obbligazioni e responsabilità derivanti dagli Ordini.

Sezione 8 – LEGGE APPLICABILE E FORO COMPETENTE

Le presenti Condizioni Generali sono regolate dalla legge italiana. Per ogni controversia derivante dalle medesime sarà competente in via esclusiva il Foro di Treviso.

CONDIZIONI GENERALI PER ATTIVITÀ DI FORNITURA DI PRODOTTI E/O SERVIZI NELL’AMBITO DELLA DIGITAL TRANSFORMATION E INFORMATION TECHNOLOGY

Le seguenti condizioni generali (di seguito “Condizioni Generali “) per l’attività di consulenza, sviluppo e gestione software, acquisizione di licenze, acquisto e uso di hardware, software macchinari e altre componenti utili nell’ambito della Digital Transformation e dell’lnformation Technology e relative manutenzioni (di seguito “Progetti” o, singolarmente, “Progetto“) disciplinano gli Ordini di acquisto (di seguito “Ordini“) emessi da TECNICA GROUP S.P.A. (di seguito “Committente” e/o “TECNICA GROUP”) verso il fornitore (di seguito “Fornitore“) a seguito di offerta di quest’ultimo (di seguito “Offerta“) e superano ed annullano qualsiasi precedente intesa tra le parti (di seguito “Parti“).

Qualsivoglia modifica e/o integrazione alle presenti Condizioni Generali è valida solo se risultante da atto sottoscritto da entrambe le Parti.

L’accettazione della fornitura di beni e servizi o l’effettuazione di pagamenti non comporta e non potrà in nessun caso essere interpretata come accettazione da parte di TECNICA GROUP di condizioni diverse dalle presenti Condizioni Generali.

L’evasione degli Ordini rappresenta integrale accettazione delle presenti Condizioni Generali, nonché delle condizioni particolari indicate negli Ordini, da parte del Fornitore, ai sensi dell’art. 1327 c.c.

Sezione 1 – CARATTERISTICHE DELL’OFFERTA

1.1 L’Offerta dovrà essere redatta su carta intestata del Fornitore datata e sottoscritta, anche digitalmente, da soggetto autorizzato, e dovrà contenere: (i) gli aspetti tecnici dei Progetti, (ii) le relative condizioni economiche, comprensive delle modalità di pagamento e degli eventuali costi di trasferta, (iii) la validità temporale e le tempistiche di esecuzione dei Progetti, (iv) ogni eventuale limitazione applicabile al Committente derivante dall’utilizzo di prodotti, materiali, strumenti o metodologie del Fornitore e/o di terzi.

1.2 L’Offerta, redatta ai sensi del precedente art. 1.1, potrà essere inviata al Committente anche solo a mezzo e-mail al referente interno per il Progetto del Committente (di seguito il “Referente“), o nelle diverse modalità eventualmente concordate tra il Referente e il Fornitore.

Sezione 2 – EMISSIONE DELL’ORDINE

2.1 L’Offerta sì intenderà accettata dal Committente mediante emissione al Fornitore del relativo Ordine, salvo diversi accordi tra le Parti.

2.2 L’Ordine si intenderà emesso mediante invio al Fornitore a mezzo p.e.c. o anche solo e-mail.

Sezione 3 – OBBLIGHI DEL FORNITORE

3.1 Il Fornitore s’impegna ad eseguire i Progetti secondo tutte le modalità e tempistiche indicate nell’Offerta e ad eseguire gli stessi a regola d’arte.

3.2 Fatto salvo ogni altro diritto del Committente derivante dall’Ordine, da disposizioni del Codice Civile e/o da normative speciali applicabili, qualora il Fornitore non esegua i Progetti in modo completo, ovvero In base alle speciflche tecniche, è facoltà del Committente ordinare al Fornitore che gli errori, le inesattezze e/o le incompletezze riscontrati vengano corretti e/o integrati a totali spese e cura del Fornitore medesimo, entro il termine che sarà indicato, a seconda della correzione e/o integrazione richiesta, nella diffida ad adempiere che il Committente invierà a mezzo raccomandata a.r. o p.e.c., il cui termine le Parti già concordano potrà essere inferiore a quello indicato all’art. 1454 c.c. Scaduto tale termine, l’Ordine si intenderà risolto ai sensi dell’art. 1456 c.c.

3.3 Per la realizzazione dei Progetti, il Fornitore si avvarrà di personale dipendente regolarmente assunto in conformità alla vigente legge Italiana. E’ vietato in ogni caso il ricorso a prestazioni di lavoro accessorio/occasionale. L’utilizzo da parte del Fornitore di personale titolare di partita IVA, regolarmente contrattualizzato dallo stesso, è ammesso solo se tale personale è dotato di professionalità specifica ed operante per più committenti. Il Fornitore si impegna ad adempiere con la massima tempestività a tutti i propri obblighi di natura retributiva/economica -ivi compreso il versamento dei contributi previdenziali ed assicurativi – fiscali ed infortunistici ed al rispetto di ogni altra disposizione in vigore per la tutela dei propri lavoratori dipendenti ovvero di personale legato al Fornitore da rapporti diversi da quello di lavoro dipendente.

3.4 Salvo tutto quanto sopra, il Fornitore si assume espressamente ogni e qualsivoglia responsabilità, nessuna esclusa, che possa derivare direttamente e/o indirettamente da danni e/o vizi riconducibili alla non corretta esecuzione dei Progetti. A titolo esemplificativo, e non esaustivo, il Fornitore si impegna a manlevare e comunque tenere indenne iI Committente da qualsiasi responsabilità, anche indiretta, da ogni onere che ne dovesse derivare, nonché da eventuali azioni legali promosse da terzi, in qualunque modo connessi con l’esecuzione dei Progetti; a manlevare e comunque tenere indenne il Committente da ogni azione, pretesa, rivendicazione o richiesta -ivi compresi oneri di ogni tipo e sanzioni – avanzati dal personale dipendente del Fornitore o da personale titolare di partita IVA e/o legato al Fornitore da rapporti diversi da quello di lavoro dipendente, dai subappaltatori, ove autorizzati, dal personale dipendente dei subappaltatori, o dal personale titolare di partita IVA e/o legato al subappaltatore da rapporti diversi da quello di lavoro dipendente, ove autorizzati, dagli Enti previdenziali, autorizzando sin d’ora il Committente a trattenere dai corrispettivi dovuti gli eventuali importi richiesti da tali soggetti per cause connesse all’esecuzione del/i Progetto/i; con riferimento alle eventuali pretese avanzate da enti previdenziali, il Fornitore autorizza il Committente a trattenere dai corrispettivi al medesimo dovuti gli eventuali importi richiesti fino a che il Fornitore non produrrà la prova dell’avvenuto adempimento; a rispettare tutte le disposizioni di legge vigenti in materia di sicurezza, igiene e salute dei lavoratori.

Sezione 4 – AUTONOMIA DEL FORNITORE

4.1 Il Fornitore eserciterà l’attività oggetto dell’Ordine mediante un’organizzazione di mezzi e persone propri. A tale riguardo le Parti dichiarano che tra le stesse non intercorrerà alcun rapporto di lavoro subordinato.

4.2 Resta inteso che nell’esecuzione dei Progetti il Fornitore dovrà attenersi alle indicazioni impartite dal Committente, senza che questo possa in alcun modo configurare un rapporto di lavoro subordinato tra Fornitore e Committente, ovvero tra I collaboratori e/o dipendenti del Fornitore ed il Committente medesimo.

Sezione 5 – VERIFICHE DEL COMMITTENTE

5.1 In qualsiasi momento il Committente avrà la facoltà di verificare, tramite proprio personale e/o tramite società o persone dallo stesso incaricate, l’esecuzione a regola d’arte dei Progetti prestati dal Fornitore.

5.2 Qualora all’esito delle verifiche, il Committente dovesse riscontrare anche una sola difformità nella prestazione dei Progetti sarà applicabile la disciplina contenuta nel precedente art 3.2.

Sezione 6 – VARIAZIONI IN CORSO D’OPERA

6.1 Salva l’applicazione degli artt. 1659, 1660 e 1661 c.c. il Committente si riserva di disporre tutte le variazioni alle specifiche che riterrà utili per la migliore prestazione dei Progetti.

6.2 Le predette variazioni formeranno oggetto di apposite modifiche scritte.

Sezione 7 – CORRISPETTIVO E PAGAMENTI

  1. Il Fornitore prende atto del fatto che:
  1. i prezzi della fornitura si intendono fissi ed invariabili per tutta la durata dell’Ordine. Resta esclusa l’applicabilità delle disposizioni di cui agli artt. 1467 c.c. e 1664 c.c.
  2. le fatture potranno essere emesse dal Fornitore solo alla spedizione del bene e alla fornitura del servizio a TECNICA GROUP;
  3. le fatture dovranno riportare sempre il riferimento al numero dell’Ordine di Acquisto e, per quanto riguarda la fornitura di beni anche al documento di trasporto, alle quantità/unità di misura/prezzi/valuta e dovranno essere emesse con la cadenza eventualmente concordata;
  4. nel caso di eventuali divergenze tra gli Ordini di Acquisto e i dati in fattura, il Fornitore dovrà rettificare le fatture in conformità agli Ordini di Acquisto, emettendo documenti di rettifica. Le eventuali note di credito e/o di debito dovranno fare riferimento alla relativa fattura originaria riportandone il numero e la data nonché il numero del documento di trasporto e dell’Ordine di Acquisto.

7.2 Ai sensi e per gli effetti dell’art. 4, co. 3, del D. Lgs. 231/2002, come modificato dal D. Lgs. 192/2012, il Fornitore prende atto ed accetta, salvo eventuali diverse previsioni contenute negli Ordini di Acquisto come termini di pagamento i 90 giorni fine mese data fattura, considerando la data di emissione fattura convenzionalmente fissata all’ultimo giorno del mese. Il pagamento delle fatture avverrà a mezzo bonifico bancario.

7.3 In caso di applicazione di penali, TECNICA GROUP emetterà apposita fattura/nota di debito (fuori campo IVA ex art. 15 DPR 633/72 e succ. mod.) con pagamento a 60 giorni dalla data di emissione della stessa fattura/nota di debito.

7. 4 Il Fornitore si impegna a comunicare a TECNICA GROUP un’unica domiciliazione di pagamento (o appoggio bancario), valida per tutta la durata del rapporto, ed a indicare chiaramente il codice IBAN relativo al conto corrente, sul quale deve essere effettuato il pagamento. In caso di variazione, il Fornitore si impegna a comunicare i dettagli a TECNICA GROUP almeno 60 (sessanta) giorni prima della scadenza del pagamento a mezzo PEC.

Sezione 8 – DIRITTI DI PROPRIETA’ INTELLETTUALE

8.1 Fermo restando che ciascuna Parte rimarrà comunque proprietaria dei prodotti, materiali, strumenti, metodologie e know-how che sono di sua proprietà prima dell’emissione dell’Ordine e che dovesse utilizzare nel corso dell’esecuzione del Progetto, il Committente diverrà progressivamente titolare dei diritti di utilizzo relativi a tutti i risultati man mano sviluppati individualmente dal Fornitore o congiuntamente dalle Parti, se questi non sono di proprietà di terzi e da questi vincolati. Tale diritto del Committente sui risultati del Progetto comprenderà anche il diritto di esercitare eventuali diritti brevettuali e/o depositare domanda di brevetto in relazione ai risultati medesimi. Qualora il Progetto preveda l’utilizzo di prodotti, materiali, strumenti o metodologie di terzi per realizzare lo stesso, il Fornitore garantisce di aver illustrato nell’Offerta ogni limitazione ed onere applicabile al Committente, mantenendolo indenne da qualsiasi richiesta di danno o indennizzo da parte di terzi qualora quest’ultimo si attenga alle limitazioni e si faccia carico degli oneri indicati nell’Offerta.

8.2 Il Fornitore garantisce che qualunque attività e/o documentazione sotto la sua responsabilità in base all’Ordine non violerà, per nessun titolo o ragione, diritti di terzi, ivi inclusi a titolo esemplificativo, diritti di proprietà intellettuale od industriale, manlevando espressamente il Committente da qualunque perdita, danno o conseguenza economica (ivi incluse spese legali e processuali) che possano essere ottenute o richieste da qualunque terzo attinenti, direttamente o indirettamente, all’insieme delle attività e/o documentazione rientranti nella responsabilità del Fornitore in base all’Ordine.

Sezione 9 – GARANZIE

9.1 Il Fornitore dichiara e garantisce di essere in possesso delle conoscenze, competenze e dell’esperienza tecnico-professionale, nonché di disporre dell’organizzazione dei mezzi e del personale necessari ai fini dell’adempimento a regola d’arte e secondo le specifiche tecniche dei Progetti. In particolare, ogni attività relativa ai Progetti dovrà garantire una sicurezza adeguata in relazione ai rischi dello specifico contesto (a titolo esemplificativo, e non esaustivo, i dati di business e personali trattati, ecc.). Inoltre, il Fornitore dovrà consentire al Committente, tenuto conto dello stato della tecnica, dei costi, della natura, dell’ambito e della finalità del Progetto, di adottare, in ogni momento, ogni misura tecnica ed organizzativa necessaria a garantire la gestione dei rischi di sicurezza, attuare i principi previsti in materia di protezione dati e tutelare I diritti degli interessati, anche con riferimento a quanto previsto al successivo art 19.

9.2 In ogni caso il Fornitore s’impegna a tenere indenne il Committente da tutti i danni (diretti e indiretti) che al Committente dovessero derivare da pretese e/o azioni di terzi in conseguenza di vizi, difetti o mancanze di conformità nella prestazione dei Progetti.

9.3 Ai fini di quanto previsto dell’art. 26 comma 5 del D. Lgs.del 9 aprile 2008, n. 81 (in materia di tutela della salute e della sicurezza nei luoghi di lavoro, cosi come modificato dal D. Lgs. 3 agosto 2009, n. 106) il Fornitore dichiara che nelle condizioni economiche dell’Offerta sono inclusi gli oneri relativi alla salvaguardia della salute e sicurezza sul lavoro e che tale valore, a carico del Fornitore, non è stato oggetto di ribasso.

9.4 Fatto salvo quanto precede, nel caso in cui il Progetto dovesse svolgersi presso locali che rientrino nel campo di applicazione dell’art. 26 del D. Lgs. n. 81/2008, il Fornitore si obbliga. anche per conto di eventuali subappaltatori, ove autorizzati, e del loro personale:

  1. a prendere visione e uniformarsi alle regole di sicurezza, igiene, prevenzione incendi ed ecologia in vigore, anche di carattere aziendale, nonché alle prescrizioni relative al coordinamento degli interventi di protezione e prevenzione dei rischi da parte del Committente;
  2. a collaborare con il Committente nella predisposizione dei documenti necessari (a titolo esemplificativo, documento unico di valutazione dei rischi di interferenze tra le organizzazioni del Committente e del Fornitore come previsto dall’art. 26, comma 3, D. Lgs. n. 81/2008) e alla stima degli eventuali costi della sicurezza;
  3. a prendere preventivamente visione dei locali presso i quali saranno eventualmente richiesti di operare;
  4. a rendere edotto il proprio personale (e/o eventuali subappaltatori, ove autorizzati, e loro personale) degli eventuali rischi esistenti nell’ambiente in cui opereranno e delle procedure in vigore, dotandoli dei dispositivi di protezione individuale e di tutti gli altri necessari mezzi di protezione, ai sensi delle norme vigenti, esercitando un costante controllo e privilegiando nella predisposizione delle procedure di lavoro e nella scelta delle apparecchiature e dei materiali -·quelli che determinano il minor rischio per le persone, anche sotto il profilo delle c.d. “interferenze”;
  5. ad informare il Committente di (i) eventuali rischi specifici della propria attività che possano comunque interessare i dipendenti del Committente e/o altri soggetti che possano trovarsi a qualunque titolo nei locali di (ii) ogni eventuale situazione di pericolo riscontrata, nonché di (iii) qualsiasi informazione necessaria ad eliminare eventuali rischi dovuti all’interferenza tra le attività svolte dal Fornitore e altre attività svolte nei locali interessati;
  6. a fornire l’elenco del personale, e del personale dei subappaltatori autorizzati, che accederanno ai locali;
  7. a rispettare tutte le indicazioni del Committente, impegnandosi altresì a preservare l’integrità, funzionalità e proprietà delle strutture del Committente.

9.5 Il Fornitore manleverà e terrà indenne il Committente, in ogni tempo, in relazione a ogni danno, azione, costo, spesa (ivi incluse le spese legali) e pretesa che dovesse essere azionata in sede giudiziale o stragiudiziale da qualunque soggetto per la violazione delle disposizioni di cui al presente art. 9.

Sezione 10 – PENALE

10.1 Il Fornitore dovrà corrispondere al Committente, a titolo penale, la somma di Euro 10.000,00 (diecimila/00) per ciascuna violazione degli obblighi di riservatezza di cui al successivo art. 16.

10.2 Il pagamento da parte del Fornitore a titolo di penale non limita il diritto del Committente al risarcimento dei danni ulteriori, né all’esercizio del diritto di risoluzione dell’Ordine ai sensi di quanto previsto al successivo art 12.

Sezione 11 – DIRITTO DI COMPENSAZIONE E SOSPENSIONE DI PAGAMENTI

11.1 Salvo quanto previsto dal precedente art 3.4, il Committente ha il diritto di compensare tutte le somme, a qualsiasi titolo dovute dal Fornitore in suo favore, comprese quelle relative alle penali ed al risarcimento dei danni, con quelle a qualsiasi titolo dovute dal Committente in favore del Fornitore.

11.2 Ad ogni modo, in caso d’inadempimento da parte del Fornitore di una qualsiasi delle disposizioni delle presenti Condizioni Generali è in facoltà del Committente sospendere il pagamento del Corrispettivo sino alla data di effettivo adempimento da parte del Fornitore e/o di eventuale diverso accordo tra le Parti; in tale ipotesi il Committente non sarà tenuto a corrispondere interessi sul ritardato pagamento del Corrispettivo.

11.3 Per patto espresso fra le Parti, la sospensione dei pagamenti di cui al precedente art. 11.2 nonché qualunque contestazione dovesse sorgere tra le Parti, non potrà sospendere o ritardare l’obbligo da parte del Fornitore di prestare i Progetti in conformità con le disposizioni delle presenti Condizioni Generali, con espressa rinuncia ad eccezioni di qualsiasi genere.

Sezione 12 – CLAUSOLA RISOLUTIVA ESPRESSA E FORZA MAGGIORE

12.1 Fermo restando quanto previsto dal precedente art. 3.2 e dal successivo art. 19, in aggiunta all’applicazione della penale di cui al precedente art. 10, il Committente potrà risolvere l’Ordine ai sensi e per gli effetti dell’art. 1456 c.c. quando si verifichi uno qualsiasi degli inadempimenti sotto elencati:

(a) violazione dei diritti di proprietà intellettuale di terzi, ai sensi dell’art. 8.2;

(b) mancato possesso dei requisiti di cui all’art. 9;

(c) mancato rispetto da parte del Fornitore degli obblighi di riservatezza, di cui al successivo art. 16.

(d) cessione/affitto, da parte del Fornitore, dell’azienda o cessione/affitto del ramo di azienda riguardo le prestazioni cui il Fornitore è obbligato ai sensi delle presenti Condizioni Generali;

(e) mutamento dell’assetto societario di controllo del Fornitore;

(f) assoggettamento del Fornitore a liquidazione, anche volontaria; presentazione di istanza o assoggettamento del Fornitore a concordato, anche stragiudiziale, ovvero ad altra procedura concorsuale.

12.2 Ciascuna parte non sarà ritenuta responsabile per il mancato adempimento delle obbligazioni derivanti dagli Ordini di Acquisto, qualora e finché tale inadempienza sia il risultato di circostanze imprevedibili e/o inevitabili (a titolo esemplificativo guerre, eventi naturali, calamità, scioperi, pandemie ecc.), tali da impedire l’adempimento degli obblighi contrattuali (“Forza Maggiore”), a condizione che la Parte rispetto alla quale tale Forza Maggiore operi ne dia notizia all’altra Parte entro 48 ore dal manifestarsi dell’evento, comunicando altresì le possibili conseguenze ed il ritardo previsto nell’evasione dell’Ordine di Fornitura.

Sezione 13 – RECESSO

13.1 Il Committente potrà recedere dall’Ordine in qualsiasi momento a mezzo lettera raccomandata A.R. o p.e.c., da inviarsi al Fornitore. Il recesso avrà efficacia decorsi 30 (trenta) giorni dalla data di ricezione della comunicazione di recesso da parte del Fornitore.

Sezione 14 – CONSEGUENZE DELLA CESSAZIONE DEGLI EFFETTI DELL’ORDINE

14.1 In caso di cessazione degli effetti dell’Ordine antecedente la scadenza al Fornitore spetterà esclusivamente il Corrispettivo nella misura di quanto maturato sino alla data di cessazione dell’Ordine, in base alle prestazioni effettivamente eseguite.

14.2 In caso di naturale scadenza, recesso, risoluzione o cessazione degli effetti del rapporto per qualsiasi motivo, il Fornitore fornirà al Committente i servizi necessari per garantire, tra l’altro, l’estrazione dei dati del Committente e per facilitare l’ordinato trasferimento e migrazione di tali dati al Committente o al fornitore che il Committente abbia designato a tale scopo, al fine di permetterne la disponibilità senza interruzioni. Una volta ultimato il trasferimento dei dati, il Fornitore si impegna ad eliminare tali dati dai propri sistemi, dandone conferma scritta al Committente entro 30 (trenta) giorni.

Sezione 15 – DIVIETO DI CESSIONE E DI SUBAPPALTO

15.1 Il Fornitore non potrà cedere, subappaltare, in tutto o in parte l’Ordine, senza il preventivo consenso scritto del Committente che sarà rilasciato o meno a totale discrezione del Committente medesimo.

15.2 E’ fatto espresso divieto di cessione del credito nei confronti del Committente che dovesse sorgere a favore del Fornitore in forza dell’Ordine, salvo previa autorizzazione scritta del Committente.

Sezione 16 – RISERVATEZZA

16.1 Il Fornitore si impegna ad adottare tutte le misure adeguate allo stato dell’arte per mantenere la segretezza e assicurare di non rivelare a terzi il contenuto di tutte le informazioni o dati forniti dal Committente ovvero generati dal Fornitore e da quest’ultimo trattati in qualsivoglia maniera ai fini e/ o nella esecuzione dell’Ordine, ivi inclusi – a titolo esemplificativo ma non limitativo -·idee, materiali vari, documenti in qualsiasi formato anche elettronico, prodotti di qualsiasi genere, nonché qualsiasi informazione relativa a processi, procedure interne e/o adottate dal Committente nei suoi rapporti con clienti o fornitori, hardware e software di rete e stand-alone utilizzati dal Committente, sviluppi, lavori sperimentali, attuazione di progetti, attività, segreti industriali e commerciali, ed ogni altro fatto riguardante ogni attività del Committente, in qualsivoglia modo raccolto o trattato dal Fornitore, compreso il collegamento in remoto agli strumenti ed alle reti informatiche del Committente (di seguito, “Informazioni Riservate“).

Sezione 17 – CESSAZIONE DI ATTIVITA’ DEL FORNITORE

17.1 Nel caso in cui intervengano circostanze tali da far prevedere che il Fornitore non sia in grado di assicurare l’assolvimento corrente degli impegni assunti e tanto in caso di fallimento, concordato, o qualsiasi procedura concorsuale a carico del Fornitore o in caso di liquidazione o cessione dell’attività di questa, il Committente avrà facoltà di recedere dall’Ordine con effetto immediato, mediante semplice comunicazione scritta.

Sezione 18 – OSSERVANZA DI LEGGI, REGOLAMENTI E DECRETI

18.1 Il Fornitore dichiara che tutto il proprio personale, ivi Incluso quello addetto alla prestazione dei Progetti, è regolarmente assunto, inquadrato e retribuito in conformità alle leggi e alla Normativa Collettiva Nazionale del settore, nonché assicurato presso i preposti Enti Previdenziali (INPS, INAIL, INAM) secondo la normativa vigente.

Sezione 19 – CODICE ETICO, MODELLO DI ORGANIZZAZIONE, GESTIONE E CONTROLLO EX D.LGS N. 231/2001 E PRIVACY

19.1 Il Fornitore si impegna, in proprio ed ai sensi dell’art. 1381 c.c. per i propri dipendenti, consulenti, collaboratori ed eventuali Terzi Fornitori Autorizzati, ad aderire ai principi etici che il gruppo TECNICA GROUP ha enunciato nel proprio Codice Etico e Modello Organizzativo, pubblicato sul sito internet di TECNICA GROUP (https://www.tecnicagroup.com/legal-area/) di cui dichiara di aver preso visione e che costituisce parte integrante e sostanziale del presente documento.

19.2 Il Fornitore dichiara e garantisce che non esistono a proprio carico né a carico dei propri subappaltatori autorizzati:

  1. procedure concorsuali in corso;
  2. protesti o altri atti pregiudizievoli dell’affidabilità e moralità riferiti al Fornitore e/o ai subappaltatori e/o rispettivi Soci e Legali Rappresentanti/Amministratori;
  3. gravi sanzioni amministrative comprese le sanzioni per violazione di prescrizioni in tema di Tutela Ambientale, di Prevenzione Infortuni ed Igiene del Lavoro emessi dai preposti organi amministrativi, giudiziari o commissioni di vigilanza aventi competenza in materia nell’ordinamento giuridico di riferimento.

In caso di inadempimento o di non corrispondenza al vero di quanto dichiarato nella presente Sezione 19 TECNICA GROUP avrà la facoltà di risolvere di diritto gli accordi relativi agli Ordini di Acquisto ai sensi dell’art. 1456 c.c., fatta salva la facoltà di richiedere il risarcimento degli eventuali danni subiti ed ogni ulteriore rimedio consentito.

19.3 Il Fornitore si impegna a dare piena applicazione ai contratti collettivi di lavoro e ad osservare la normativa in materia di assicurazioni sociali e i materia fiscale, contributiva, retributiva, assistenziale, previdenziale ed infortunistica; il Fornitore si impegna inoltre a versare i contributi dovuti ai sensi della vigente normativa in materia di rapporto di lavoro subordinato, di assistenza, previdenza sociale ed impiego della mano d’opera, nonché a pagare regolarmente e puntualmente i dovuti corrispettivi al proprio personale dipendente e a versare i contributi e gli oneri di legge, compresi quelli fiscali. Il Fornitore si impegna, ai sensi e per gli effetti di cui all’articolo 1381 cod. civ., a far sì che le suddette obbligazioni contrattuali e normative siano adempiute anche dagli eventuali Terzi Fornitori Autorizzati.

Conseguentemente il Fornitore garantisce che il proprio personale ed eventuali Terzi Fornitori Autorizzati non avranno nulla a pretendere nei confronti di TECNICA GROUP per le attività dallo stesso svolte in esecuzione degli Ordini di Acquisto, ad alcun titolo e/o ragione. Il Fornitore si impegna a tenere TECNICA GROUP manlevata ed indenne da ogni eventuale pretesa dovesse a qualsiasi titolo essere avanzata dal predetto personale nei suoi confronti, e quindi a rimborsare a TECNICA GROUP, a prima richiesta scritta e rimossa ogni eccezione, qualsiasi importo TECNICA GROUP fosse tenuta a corrispondere al personale, a qualsiasi titolo, a fronte di ogni provvedimento esecutivo dovesse essere emesso nei confronti di TECNICA GROUP dall’Autorità Giudiziaria e/o amministrativa, così come qualsiasi spesa TECNICA GROUP fosse tenuta a sostenere in relazione a dette pretese, incluse le spese legali.

Le persone che in esecuzione di un ordine o di un contratto eseguano lavori in uno stabilimento e/o sede di TECNICA GROUP dovranno uniformarsi ai relativi regolamenti lavorativi. Fatta salva l’applicazione dell’art. 1229 cc, è esclusa qualsiasi responsabilità di TECNICA GROUP per incidenti che si verifichino negli stabilimenti e/o sedi di TECNICA GROUP.

19.4 TECNICA GROUP comunica che i dati raccolti, memorizzati e registrati in relazione al presente documento e agli Ordini di Acquisto / Contratti saranno oggetto di trattamento, sia manuale che automatizzato da parte di TECNICA GROUP per il tramite di persone all’uopo autorizzate, per l’adempimento degli obblighi legali, contrattuali e per la gestione dei rapporti commerciali, nel rispetto di quanto previsto dal D. Lgs. 196/2003 “Codice in materia di protezione dei dati personali” e successive modifiche e del Regolamento generale sulla protezione dei dati (GDPR) 2016/679 e il Fornitore dichiara di dare il proprio consenso, ove occorra, al trattamento ed alla comunicazione dei propri dati. I dati raccolti ed elaborati potranno essere comunicati a terzi, senza limitazioni territoriali, esclusivamente per le finalità di cui al presente documento. Il Fornitore dichiara di avere preso visione della informativa pubblicata sul sito di TECNICA GROUP (https://www.tecnicagroup.com/privacy-policy/).

Sezione 20 – ASSICURAZIONE

20.1 Il Fornitore dovrà stipulare e mantenere valida a proprie spese una polizza assicurativa adeguata a coprire le sue obbligazioni e responsabilità derivanti dagli Ordini di Acquisto.

Sezione 21 – LEGGE APPLICABILE E FORO COMPETENTE

21.1 Le presenti Condizioni Generali sono sottoposte alla legge italiana. Per quanto non espressamente previsto sarà applicabile la disciplina sui contratti di appalto e sui contratti in generale contenuta nel Codice Civile.

21.2 Ogni controversia, relativa all’interpretazione o esecuzione dell’Ordine e/o delle presenti Condizioni Generali, è attribuita alla competenza esclusiva del Foro di Treviso.
